Terms of Service Agreement

Welcome to the AI Maturity Platform. These Terms of Service govern your access to and use of our platform, services, and content. Please read these terms carefully before using our platform.

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

Important Legal Notice

These Terms contain important provisions, including an arbitration clause and limitations on liability. Please review all sections carefully, particularly Sections 7 (Disclaimers), 8 (Limitation of Liability), and 11 (Governing Law).

1. Acceptance of Terms

1.1 Agreement to Terms

By accessing or using the AI Maturity Platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our platform.

1.2 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the platform, you represent and warrant that you meet these requirements.

1.3 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use after such modifications constitutes acceptance of the updated Terms.

2. Account Registration and Security

2.1 Account Creation

To access certain features, you must create an account providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breaches.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other legitimate reasons with or without notice.

3. Use of the Platform

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business purposes.

3.2 Permitted Uses

You may use the platform to conduct AI maturity assessments, track initiatives, generate reports, access AI recommendations, and utilize other features as intended by the platform.

3.3 Service Availability

While we strive for continuous availability, we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the platform or any features with or without notice.

4. Prohibited Conduct

4.1 General Prohibitions

You agree not to: (a) use the platform for any unlawful purpose; (b) attempt to gain unauthorized access to our systems; (c) interfere with platform operations; (d) transmit malware or harmful code; (e) violate intellectual property rights.

4.2 Data Scraping

You may not use automated tools to scrape, extract, or harvest data from the platform without our express written permission.

4.3 Misuse of AI Features

You may not attempt to reverse engineer, manipulate, or exploit our AI algorithms or recommendations for purposes other than intended use.

5. Intellectual Property Rights

5.1 Platform Ownership

The platform, including all content, features, functionality, software, and technology, is owned by us and is protected by intellectual property laws. All rights not expressly granted are reserved.

5.2 Your Content

You retain ownership of the assessment data and content you submit. By using the platform, you grant us a license to use, store, and process your content to provide and improve our services.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about the platform become our property, and we may use them without restriction or compensation.

6. Data and Privacy

6.1 Privacy Policy

Your use of the platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect and use your information.

6.2 Data Processing

We process your assessment data to provide services, generate insights, and improve our platform. We implement appropriate security measures to protect your data.

6.3 Data Retention

We retain your data for as long as your account is active or as needed to provide services, comply with legal obligations, and resolve disputes.

7. Disclaimers and Warranties

7.1 Service "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 AI Recommendations

AI-generated recommendations are advisory only and should not be considered professional advice. We do not guarantee the accuracy, completeness, or suitability of AI recommendations for your specific circumstances.

7.3 Third-Party Content

The platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of these third parties.

8. Limitation of Liability

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE.

8.2 Liability Cap

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

9.1 Your Indemnification

You agree to indemnify, defend, and hold harmless the AI Maturity Platform, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform or violation of these Terms.

9.2 Indemnification Process

We will notify you of any claim subject to indemnification and cooperate with you in the defense. You may not settle any claim without our prior written consent.

10. Termination

10.1 Termination Rights

Either party may terminate these Terms at any time. You may stop using the platform and delete your account. We may suspend or terminate your access for violations or other legitimate reasons.

10.2 Effect of Termination

Upon termination, your right to use the platform ceases immediately. We may delete your account and data subject to our data retention policies and legal obligations.

10.3 Survival

Provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification shall survive termination.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through good-faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.

11.3 Arbitration

For certain disputes, we may require binding arbitration in accordance with the arbitration rules of the UAE, unless prohibited by applicable law.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies, constitute the entire agreement between you and us regarding the platform.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
